Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and TaskZen.me ("we," "our," or "us") governing your access to and use of the TaskZen.me website, applications, and services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Service Description

TaskZen.me is a productivity platform that provides tools for daily planning, task management, habit tracking, time blocking, and other productivity-enhancing features. The Service may include:

  • Task creation, organization, and management
  • Calendar and scheduling functionality
  • Habit tracking and goal setting
  • Time blocking and time management tools
  • Pomodoro timer and focus tools
  • Analytics and productivity insights
  • AI-powered suggestions and assistance
  • Data synchronization across devices
  • Sharing and collaboration features

3. Account Registration and Security

To access certain features of the Service, you may need to register for an account. When you register, you agree to provide accurate, current, and complete information and to update this information to maintain its accuracy.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

We reserve the right to disable any user account at any time if we believe you have violated these Terms or if we determine, in our sole discretion, that your use of the account poses a security risk.

4. User Content

The Service allows you to create, upload, store, and share content, including tasks, notes, schedules, and other materials (collectively, "User Content"). You retain all rights in your User Content.

By submitting User Content to the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content for the purpose of providing and improving the Service.

You represent and warrant that:

  • You own or have the necessary rights to your User Content and the right to grant the license above.
  • Your User Content does not violate the privacy rights, publicity rights, intellectual property rights, or any other rights of any person.
  • Your User Content does not contain any material that is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise objectionable.

5. Data Storage and Processing

TaskZen.me stores and processes user data, including User Content and personal information, on secure servers located in various regions around the world. By using the Service, you consent to the transfer of your data to these servers.

We implement appropriate technical and organizational measures to protect your data against unauthorized or unlawful processing, accidental loss, destruction, or damage. However, no method of transmission over the Internet or method of electronic storage is 100% secure.

We retain your data for as long as your account is active or as needed to provide you with the Service. We may retain certain data for longer periods if necessary for legal, accounting, or reporting requirements.

In the event of account deletion, we will delete or anonymize your data within 30 days, except for data that we are required to retain for legal, accounting, or security purposes.

6. Subscription and Payment Terms

TaskZen.me offers both free and paid subscription plans. By subscribing to a paid plan, you agree to pay the subscription fees as described at the time of purchase.

Subscription fees are billed in advance on a recurring basis (monthly, annually, or as otherwise specified) and are non-refundable except as required by law or as explicitly stated in these Terms.

We may change subscription fees at any time, but changes will not apply to your current subscription period. We will provide notice of any fee changes before they apply to your subscription.

You may cancel your subscription at any time through your account settings or by contacting us. Upon cancellation, your subscription will remain active until the end of your current billing period, after which it will not renew.

7. Free Trial

We may offer a free trial of our paid subscription plans. The duration of the free trial period will be specified at the time of sign-up.

To access a free trial, you may need to provide payment information. At the end of the free trial period, we will automatically charge the applicable subscription fee unless you cancel your subscription before the end of the trial.

8. Intellectual Property Rights

The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of TaskZen.me and its licensors. The Service is protected by copyright, trademark, and other laws.

Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

We respect the intellectual property rights of others. If you believe that material available on the Service infringes your copyright, please notify us through our designated copyright agent.

9. Prohibited Conduct

You agree not to:

  • Use the Service in any way that violates any applicable law or regulation.
  • Use the Service for any harmful, fraudulent, deceptive, or illegal purpose.
  • Attempt to gain unauthorized access to any portion of the Service or any other systems or networks connected to the Service.
  • Interfere with or disrupt the Service or servers or networks connected to the Service.
  • Circumvent, disable, or otherwise interfere with security-related features of the Service.
  • Use any robot, spider, crawler, scraper, or other automated means to access the Service.
  • Introduce any viruses, trojan horses, worms, logic bombs, or other harmful material to the Service.
  • Collect or harvest any information from the Service, including user accounts.
  • Impersonate or misrepresent your affiliation with any person or entity.
  • Use the Service to send unsolicited communications, promotions, or advertisements.
  • Use the Service to harass, abuse, or harm another person.
  • Use the Service in a manner that could disable, overburden, damage, or impair the Service.

10. Third-Party Services and Links

The Service may contain links to third-party websites or services that are not owned or controlled by TaskZen.me. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

You acknowledge and agree that we shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.

We strongly advise you to read the terms and conditions and privacy policies of any third-party websites or services that you visit.

11. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service or contact us to request account deletion.

All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

WE DO NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE USE OR THE RESULTS OF THE USE OF THE SERVICE IN TERMS OF CORRECTNESS, ACCURACY, RELIABILITY, OR OTHERWISE.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TASKZEN.ME, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT PAID BY YOU TO US FOR THE SERVICE DURING THE TWELVE (12) MONTHS PRIOR TO THE CLAIM.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR CERTAIN TYPES OF DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

14. Indemnification

You agree to defend, indemnify, and hold harmless TaskZen.me, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service.

15. Changes to Terms

We reserve the right to modify these Terms at any time. If we make changes, we will provide notice by posting the updated Terms on the Service and updating the "Last updated" date. Your continued use of the Service after such notice constitutes your acceptance of the revised Terms.

For material changes, we may provide additional notice, such as displaying a prominent notice within the Service or sending you an email notification.

16. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

Any legal action or proceeding arising out of or relating to these Terms or the Service shall be exclusively brought in the federal or state courts located in San Francisco County, California, and you consent to the personal jurisdiction of such courts.

17. Dispute Resolution

Any dispute arising from or relating to these Terms or the Service shall first be resolved through informal negotiation. If the dispute cannot be resolved through negotiation, it shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

The arbitration shall be conducted in San Francisco, California, unless we agree otherwise. The arbitration shall be conducted by a single arbitrator, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction.

YOU AND TASKZEN.ME AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

18. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, such provision shall be struck from these Terms, and the remaining provisions shall remain in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us on the Service, constitute the entire agreement between you and TaskZen.me regarding the Service.
